Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MoveAlerts.ai website, applications, APIs, and related services (collectively, the “Service”) operated by MoveAlerts.ai (“MoveAlerts,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You may use the Service only if you:

• Are at least 18 years old (or the age of majority in your jurisdiction); and
• Have the legal capacity to enter into a binding contract.

2. Account Registration

To use certain features of the Service, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Keep your login credentials secure and confidential; and
• Promptly update your account information as needed.

You are responsible for all activities that occur under your account. Notify us immediately if you believe your account has been compromised.

3. Subscriptions, Payments, and Refunds

Certain features of the Service may require a paid subscription or other fees (“Paid Services”). By subscribing to or purchasing any Paid Services, you agree to pay the applicable fees, taxes, and charges.

• Billing. Fees may be charged on a recurring basis (e.g., monthly or annually) or on another schedule disclosed at checkout.
• Auto-Renewal. Unless otherwise stated, subscriptions automatically renew at the end of each billing period at the then-current rate until canceled.
• Cancellation. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods, except where required by law.
• Price Changes. We may change subscription prices, with reasonable notice where required. Continued use after a price change constitutes your acceptance.

4. License and Use of the Service

Subject to your compliance with these Terms, MoveAlerts grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Service;
• Reverse engineer or attempt to extract the source code, models, or underlying data (except where permitted by applicable law);
• Bypass or circumvent any security or access controls of the Service;
• Use the Service to create a competing product or service;
• Use automated tools (e.g., bots, scrapers) to access or query the Service in a manner not explicitly permitted;
• Use the Service in any unlawful, abusive, or fraudulent manner.

5. Market Data, AI Content & No Investment Advice

The Service may provide market data, news summaries, sentiment scores, alerts, watchlists, and other financial or market-related information, including content generated or summarized by artificial intelligence (“AI Content”).

• Informational Only. All information provided by the Service is for informational and educational purposes only, and should not be considered financial, investment, trading, tax, or legal advice.
• No Recommendation. Nothing in the Service constitutes a recommendation or solicitation to buy, sell, or hold any security or financial instrument.
• No Guarantee of Accuracy. Market data, news, and AI Content may be incomplete, delayed, inaccurate, or contain errors. We do not guarantee correctness, completeness, timeliness, or reliability.
• You Are Responsible. You are solely responsible for your trading and investment decisions. You should conduct your own research and, where appropriate, consult a qualified financial professional.

6. No Broker-Dealer Relationship

MoveAlerts is not a broker, dealer, investment adviser, or financial planner, and is not registered with any financial regulatory authority. We do not execute trades or manage investments on your behalf.

Any links, integrations, or references to third-party brokerages or trading platforms are for your convenience only and do not constitute an endorsement.

7. Third-Party Services and Links

The Service may display or link to third-party websites, services, data sources, or content (“Third-Party Services”). We do not control, endorse, or assume responsibility for any Third-Party Services.

Your use of Third-Party Services is at your own risk and may be subject to additional terms and policies of those third parties.

8. User Content

You may submit or upload information, text, or other materials through the Service (“User Content”). You retain ownership of your User Content.

By submitting User Content, you grant MoveAlerts a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, perform, and distribute such User Content in connection with operating, improving, and promoting the Service.

You represent and warrant that:

• You have all rights necessary to submit the User Content and grant the above license;
• Your User Content does not violate any law or the rights of any third party;
• Your User Content does not contain unlawful, harmful, abusive, or deceptive material.

9. Feedback

If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you agree that we may use the Feedback without restriction or compensation to you.

10. Intellectual Property

The Service, including all software, design, logos, trademarks, text, images, AI models, and other content (excluding User Content and certain third-party content), are owned by or licensed to MoveAlerts and are protected by intellectual property laws.

Except for the limited license explicitly granted in these Terms, no rights are granted to you in or to the Service or any related intellectual property.

11. Service Changes and Availability

We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice, including by adding or removing features, imposing limits, or restricting access to some or all of the Service.

We are not liable for any modification, suspension, or discontinuation of the Service.

12. Termination

We may suspend or terminate your access to the Service (including any account) at any time, with or without notice, if we reasonably believe you have violated these Terms or if we need to do so to protect the Service or other users.

You may stop using the Service at any time. Sections that by their nature should survive termination (including, but not limited to, ownership, disclaimers, limitations of liability, and indemnification) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVEALERTS AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA OR RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOVEALERTS OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES,

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID TO MOVEALERTS FOR THE SERVICE DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless MoveAlerts and its affiliates, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity.

16. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

You agree that any disputes will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts, except where applicable law provides otherwise.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. We may also provide additional notice (such as via email or in-product notification) if required.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

18. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and MoveAlerts regarding the Service.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may freely assign or transfer these Terms.
